Merchant Agreement
This Merchant Agreement ("Agreement") governs your use of the joayo merchant platform as an operator of a physical business in Korea. By accepting these terms in the merchant app or signing the Merchant Services Order Form, you agree to be bound by this Agreement.
1. Onboarding and eligibility
To operate on joayo you must provide your business registration number (사업자등록증), representative information, a valid KRW bank account for payouts, and any licenses required for your category (for example, a food hygiene license for restaurants). joayo may verify this information directly with the National Tax Service or equivalent registries.
Your listing goes live after joayo reviews and approves your location, category, and onboarding materials. Approval is at joayo's discretion; joayo may decline categories that pose regulatory or safety concerns.
2. Fees
joayo charges a performance-based fee on each claim that is honored at your location. The current fee is a percentage of the claimed item's pre-discount retail price, as disclosed in the Merchant Services Order Form. joayo may adjust fees with thirty (30) days' prior notice; any change will not apply retroactively.
There is no monthly subscription for the base merchant plan. Optional services (premium placement, featured campaigns, custom integrations) are billed separately under their own terms.
3. Payouts
For prepaid offers, joayo collects payment on your behalf through our licensed payment partner and pays out the net amount (gross sales minus joayo fee and any refunds) weekly to your registered bank account. The standard payout cycle covers Monday–Sunday and settles within five (5) business days.
Payouts for unpaid (pay-at-the-merchant) claims do not flow through joayo — you collect directly at the point of sale. joayo will invoice you monthly for the platform fee on those claims.
4. Offer rules
Offers must be honorable. You commit to fulfilling every claim made within the stated validity window, up to your posted stock, at the stated price, without upselling or conditions not disclosed on the offer card. You must not refuse a valid claim based on the consumer's identity, appearance, or payment method.
You may not misrepresent discounts (for example, by first inflating the listed regular price). All offers must comply with the Act on Fair Labeling and Advertising (표시·광고의 공정화에 관한 법률) and relevant category rules (food safety, cosmetics, alcohol age verification).
You are responsible for the accuracy of menu items, ingredients, allergens, and operating hours. joayo provides tools to update these; you agree to keep them current.
5. Compliance
You agree to comply with all applicable Korean laws including the Food Sanitation Act (식품위생법), the Fair Trade Act, consumer protection statutes, tax laws, and labor laws for your staff. joayo does not assume your regulatory obligations and cannot act as your representative before Korean authorities.
You will not use the Service to facilitate money laundering, terrorist financing, or the sale of goods and services prohibited by Korean law.
6. Customer data
joayo does not provide you with direct customer contact information (phone numbers, emails, precise home addresses). You receive aggregated insights and, for each claim, the customer's display name and claim code. You may not scrape, export, or transfer claim-level data to a third party, and you may not attempt to re-identify customers.
If a customer consents to marketing from you through an in-app flow, you may send the consented communications subject to the Network Act (정보통신망법). All communications must include clear opt-out mechanisms.
7. Non-compete and non-solicitation
During the term of this Agreement and for six (6) months thereafter, you agree not to attempt to move joayo customers to a directly competing marketplace by displaying QR codes, flyers, or in-store signage that redirects customers acquired through joayo to a competing platform offering a materially similar service.
This restriction does not limit your ordinary marketing to customers you already had before joining joayo, your own loyalty program for walk-in customers, or advertising on general platforms (search, social).
8. Liability
You are responsible for the goods and services you sell, including product safety, fitness for purpose, and compliance with category regulations. joayo is a platform and is not the seller.
Each party's aggregate liability under this Agreement is limited to the greater of (i) amounts paid or payable between the parties in the six (6) months preceding the claim, or (ii) KRW 1,000,000, except for liabilities that cannot be limited under Korean law (death, personal injury caused by negligence, fraud, wilful misconduct, or infringement of the other party's intellectual property).
You agree to indemnify joayo against third-party claims arising from your breach of this Agreement, your offers, or your goods and services, subject to joayo providing prompt notice and reasonable cooperation.
9. Termination
Either party may terminate this Agreement for convenience on thirty (30) days' written notice. joayo may suspend or terminate immediately for material breach, safety or regulatory risk, chargeback abuse, or repeated refusal to honor valid claims.
On termination, joayo will settle outstanding payouts in the next regular cycle, subject to reserves for anticipated refunds and chargebacks. Sections that by their nature should survive (fees owed, liability, confidentiality, indemnity) will survive termination.
10. Governing law
This Agreement is governed by the laws of the Republic of Korea. Any dispute arising under this Agreement will be resolved in the Seoul Central District Court (서울중앙지방법원), except where mandatory small-business protections grant you a different venue.
